- Conduct regular oversight of the management policies and operational processes implemented by the Board of Directors.
- Provide strategic advice and considerations to the Board of Directors to ensure compliance with the company’s articles of association.
- Review and approve the annual work plan and company budget (RKAP) prior to implementation.
- Ensure the implementation of Good Corporate Governance principles throughout the organization.
- Senior executive or managerial experience with a proven track record in corporate oversight.
- Comprehensive understanding of conformity assessment industry regulations and international accreditation standards.
- High moral integrity and freedom from influences that could compromise supervisory independence.
- Able to analyze financial statements and business risks to maintain the long-term stability of the institution.
scope of duties & authority:
The Board of Commissioners performs a collective oversight function to ensure that the Board of Directors manages TNVID in the best interests of stakeholders. Its scope of duties includes monitoring the effectiveness of the internal control system and technical risk management. The Board of Commissioners has the authority to request clarification from the Board of Directors on all matters related to company management and to conduct audits of the company’s assets and documents from time to time. Through its advisory role, the Board of Commissioners ensures that every expansion or operational step remains in line with legal compliance and strict professional ethics.
